1. Definitions
For the purposes of these Terms and Conditions:
- "We," "Us," "Our" refers to Verdaoi, a senior residence facility located at Jalan Pahang 203, 53000 Kuala Lumpur, Wilayah Persekutuan, Malaysia.
- "Resident" refers to an individual who has entered into a residence agreement with Verdaoi.
- "Responsible Party" refers to the resident or their legal representative who has entered into the residence agreement on behalf of the resident.
- "Services" refers to the residence accommodations, meals, activities, and support services provided by Verdaoi.
- "Agreement" refers to these Terms and Conditions together with the individual residence agreement.
- "Website" refers to the Verdaoi website accessible at verdaois.live.
2. Acceptance of Terms
By entering into a residence agreement with Verdaoi, using our services, or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you should not use our services or website.
These Terms and Conditions apply to all residents, responsible parties, visitors, and users of our website. Residents and responsible parties must be at least 18 years of age or have the legal capacity to enter into binding agreements under Malaysian law.
3. Services Description
Verdaoi provides senior residence services including:
- Private accommodations in one of three residence levels: Garden View, Terrace, or Conservatory
- Three daily meals prepared with fresh ingredients and accommodation of dietary requirements
- Housekeeping and laundry services
- Access to garden areas and common spaces
- Optional social and recreational activities
- Varying levels of personalized support depending on residence level selected
Specific services included vary by residence level as described in our service materials and individual residence agreements. We reserve the right to modify services with reasonable notice to accommodate operational requirements or regulatory changes.
4. Admission Requirements
Admission to Verdaoi requires:
- Completion of the admission application and assessment process
- Provision of accurate medical and personal information
- Demonstration of ability to benefit from and participate appropriately in community living
- Agreement to our community guidelines and behavioral expectations
- Financial capacity to meet payment obligations
We reserve the right to decline admission or request that a resident seek alternative accommodations if we determine we cannot appropriately meet their needs or if their presence poses safety concerns for themselves or others.
5. Fees and Payment Terms
Monthly residence fees are set forth in the individual residence agreement and vary by residence level selected. Current fees as of January 2026 are:
- Garden View Residence: RM 2,950 per month
- Terrace Residence: RM 7,000 per month
- Conservatory Residence: RM 11,450 per month
Payment Schedule: Monthly fees are due on the first day of each month. Payment may be made by bank transfer, check, or other agreed-upon methods.
Late Payments: Payments received after the 10th of the month may be subject to late fees as specified in the residence agreement.
Fee Adjustments: We reserve the right to adjust fees with 60 days advance written notice to reflect increased operating costs or service enhancements.
Additional Charges: Services beyond those included in the monthly fee, such as specialized transportation or external medical services arranged at the resident's request, will be billed separately.
6. Residence Agreement Duration and Termination
The residence agreement continues month-to-month unless terminated by either party. Termination may occur under the following circumstances:
Termination by Resident or Responsible Party
Either party may terminate the agreement with 30 days written notice. Payment is required for the full notice period regardless of when the resident vacates.
Termination by Verdaoi
We may terminate the agreement with 30 days notice if: payment obligations are not met; the resident's needs exceed our capacity to provide appropriate care; the resident's behavior poses safety concerns; or the resident no longer meets admission criteria.
Immediate Termination
We reserve the right to immediate termination if the resident engages in violent, threatening, or illegal behavior that endangers others.
7. Resident Responsibilities
Residents and responsible parties agree to:
- Provide accurate and complete information during admission and throughout residence
- Respect the rights, property, and privacy of other residents and staff
- Follow community guidelines and behavioral expectations
- Maintain personal accommodations in reasonable condition
- Meet financial obligations in a timely manner
- Notify us promptly of any changes in health status, emergency contacts, or other relevant information
- Cooperate with staff in receiving care and services
8. Verdaoi Responsibilities
We commit to:
- Provide services as described in the residence agreement
- Maintain a safe, clean, and well-maintained facility
- Respect resident privacy, dignity, and autonomy
- Employ qualified and trained staff
- Comply with applicable Malaysian health and safety regulations
- Communicate openly with residents and families
- Handle personal information in accordance with our Privacy Policy
9. Liability and Disclaimers
Services Provided "As Is": While we strive to provide high-quality services, we cannot guarantee specific outcomes. Services are provided in their current state without warranties of any kind.
Limitation of Liability: To the maximum extent permitted by Malaysian law, our liability for any damages arising from the residence agreement or services provided shall be limited to the amount of fees paid during the three months preceding the event giving rise to the claim.
Personal Property: While we take reasonable precautions, we are not responsible for loss or damage to residents' personal property except where caused by our negligence. We recommend residents maintain appropriate insurance for valuable items.
Medical Disclaimer: Verdaoi does not provide medical or nursing services. We are not a medical facility. Residents are responsible for arranging their own medical care with qualified healthcare providers.
10. Indemnification
The responsible party agrees to indemnify and hold Verdaoi, its employees, and affiliates harmless from any claims, damages, losses, or expenses arising from: the resident's actions or omissions; breach of these Terms and Conditions; or provision of inaccurate information during admission or throughout residence.
11. Privacy and Confidentiality
We are committed to protecting the privacy and confidentiality of resident information as described in our Privacy Policy. By entering into a residence agreement, you consent to our collection, use, and disclosure of personal information as necessary to provide services and as described in our Privacy Policy.
12. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, pandemics, labor disputes, or utility failures. We will make reasonable efforts to continue providing services during such events but may need to modify services temporarily.
13. Dispute Resolution
Informal Resolution: We encourage residents and families to raise concerns directly with management. We will make good faith efforts to resolve disputes informally through discussion.
Mediation: If informal resolution is unsuccessful, the parties agree to attempt mediation before pursuing legal action.
Governing Law and Jurisdiction: These Terms and Conditions are governed by the laws of Malaysia. Any legal disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
14. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable under Malaysian law, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.
15. Waiver
Our failure to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative.
16. Assignment
You may not assign or transfer your rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a sale, merger, or transfer of our business.
17. Entire Agreement
These Terms and Conditions, together with the individual residence agreement and our Privacy Policy, constitute the entire agreement between you and Verdaoi regarding residence services. They supersede any prior understandings or agreements, whether written or oral.
18. Changes to Terms and Conditions
We reserve the right to modify these Terms and Conditions at any time. We will provide written notice of material changes to current residents and responsible parties at least 30 days before the changes take effect.
Updated Terms and Conditions will be posted on our website with the revision date. Your continued residence after changes take effect constitutes acceptance of the modified terms.
